Font Licence Agreement

Ethan Nakache Type Foundry — Master Agreement (EULA)

This agreement is between Ethan Nakache, an independent type designer based in France ("the Foundry"), and the person or company that acquires the licence ("the Licensee"). By downloading, installing or using the Font Software, the Licensee accepts this agreement. If you do not accept it, do not use the fonts.

1. Definitions

• Font Software: the font files delivered with the Order (OTF, TTF, WOFF, WOFF2), and any update the Foundry provides.
• Licensee: the person or company named in the Order as the owner of the licence. If you buy for a client, choose "Your client" at checkout: the client is then the Licensee, and the licence belongs to the client, not to you.
• Order: the licences, styles, company size and social media size selected and paid for.
• Company size: the number of people working for the Licensee, employees and regular freelancers included.
• Social media size: the total number of followers of the social media accounts on which the Licensee publishes content set in the Font Software.
• Add-on licence: any other licence in the Order (Website, Brand / Logo Mark, Embed Font, etc.). Each add-on licence is governed by this agreement and by its own addendum.

2. Desktop licence

The Foundry grants the Licensee a non-exclusive, non-transferable, perpetual licence to install and use the Font Software, in the styles purchased, on the Licensee's computers, for printed and desktop-produced work: editorial, packaging, advertising, signage, books, posters, presentations, and static images published online (for example social media posts). The licence applies within the Company size and Social media size stated in the Order.

Any other use (websites, logos, apps, video, broadcast, servers, embedding, sharing with third parties) requires the matching add-on licence.

3. One licence per client

Each licence covers one Licensee only. Designers and agencies must buy a separate licence for each client for whom they use the Font Software. The Licensee's own employees and regular freelancers may use the Font Software for the Licensee's work, within the Company size of the Order.

4. Restrictions

The Licensee may not, and may not allow anyone else to:

1. Modify, edit, adapt, translate or create derivative works from the Font Software. This includes redrawing, retouching or altering letterforms in any way, even for a logo or a brand mark. Converting text set in the Font Software into outlines or vector shapes, without changing the letterforms, is not a modification. If you need modified or custom letters, contact the Foundry.
2. Redistribute, sell, rent, lend, sublicense, give away or publish the Font Software, or make it available for download, except as an add-on licence expressly allows.
3. Embed the Font Software in any product, document, website, app or service, except as an add-on licence expressly allows.
4. Use the Font Software, or any output derived from its design, to train, fine-tune or test machine learning models, or to generate fonts or typefaces.
5. Remove or alter copyright notices, or claim authorship of the Font Software.

5. Ownership

The Font Software is a copyrighted work of Ethan Nakache. This agreement grants a licence to use it. It is not a sale, and all rights not expressly granted are reserved. Text, images and other work the Licensee creates with the Font Software belong to the Licensee.

6. Growth of the Licensee

If the Licensee's Company size or Social media size grows beyond the level in the Order, the Licensee must upgrade the licence within 30 days by paying the price difference.

7. Delivery and backups

The Font Software is delivered electronically. The Licensee may keep reasonable backup copies, provided they are subject to this agreement. Statutory consumer rights that cannot be waived are not affected by this agreement.

8. Warranty and liability

The Font Software is provided "as is". The Foundry does not guarantee that it is free of errors or suitable for a particular purpose. To the maximum extent permitted by law, the Foundry's total liability under this agreement is limited to the amount the Licensee paid for the Order. This limit does not apply to fraud, gross negligence, or any liability that cannot be excluded by law.

9. Term and termination

The licences are perpetual, unless this agreement is terminated. The Foundry may terminate the licence if the Licensee materially breaches it and does not remedy the breach within 15 days of written notice. In case of redistribution of the Font Software, termination is immediate. After termination, the Licensee must delete all copies of the Font Software.

10. Transfer

The licence may not be transferred or assigned without the Foundry's written consent, except to a successor to the whole business of the Licensee, who must accept this agreement in writing.

11. Governing law and jurisdiction

This agreement is governed by French law. The courts of Paris have exclusive jurisdiction, subject to any mandatory consumer protection rules that give the Licensee another right.

Addendum — Website Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may use the web font files (WOFF and WOFF2) of the styles purchased on the number of websites stated in the Order, owned or operated by the Licensee.
2. What counts as one website. One website is one site, project or brand, including its subdomains and its staging or testing copies. There is no limit on page views or traffic.
3. How. The font may be self-hosted and loaded with @font-face, or delivered by any standard web font method that does not allow third parties to download it.
4. Restrictions. The Licensee must not make the font files available for download, must not use them on websites that are not covered by the Order, and must not use them in website templates or themes distributed or sold to others. A web designer building a site for a client must buy the licence for that client.

Addendum — Brand / Logo Mark Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may use the Font Software to create a logo, wordmark, monogram or other permanent brand mark for the Licensee.
2. No modification. Text set in the Font Software may be converted into outlines for the logo artwork, but the letterforms must not be altered, redrawn, retouched or customised in any way. For modified or custom letters, the Licensee must contact the Foundry.
3. No exclusivity. This licence does not give the Licensee exclusive rights to the typeface or to its letterforms. Other people may use the same typeface. The Foundry does not guarantee that a mark can be protected.
4. Trademark. Registering the logo as a trademark requires the Trademark licence in addition to this one.
5. Files. The Font Software itself must not be delivered with the logo files.

Addendum — Embed Font Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may embed the font, as a subset or in full, in documents that are distributed to others, such as PDFs, presentations and shared design files, provided the embedding is view-and-print only.
2. Restrictions. The embedding must not allow recipients to edit the text with the font, to install it, or to extract it. Receiving a document does not give the recipient any licence to the Font Software. Recipients who need to edit the document need their own licence.
3. Internal documents. Documents that stay within the Licensee do not need this licence. The Desktop licence covers them.

Addendum — Share with a Third Party Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may give a copy of the Font Software to an outside collaborator, such as a printer, a developer, an agency or a production partner, so that the collaborator can work on a specific project of the Licensee.
2. Conditions. The collaborator may use the Font Software only for that project, must not keep it afterwards, and must delete all copies once the project is finished. The collaborator does not become a licensee and must not share the Font Software further.
3. Responsibility. The Licensee is responsible for the collaborator's compliance with this agreement.

Addendum — Video / Motion Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may use the Font Software in motion graphics and video content distributed online: social ads, YouTube and other video platforms, in-house company videos, branded animations and digital campaigns.
2. Exclusions. This licence does not cover television, cinema or other broadcast use, which requires the Broadcast / Film licence. Static images are covered by the Desktop licence.
3. Files. The video may contain the text as rendered images. The Font Software itself must not be included or made available for download with the video.

Addendum — Trademark Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may apply, in any country, to register as a trademark a logo or logotype that contains text set in the Font Software, without modification of the letterforms.
2. No rights in the typeface. This licence does not transfer any right in the Font Software and does not give the Licensee exclusive rights over the typeface or its letterforms. The Licensee must not use the registration to prevent others from lawfully using the typeface.
3. No guarantee. The Foundry does not guarantee that the application will be accepted. The Licensee should take advice from a trademark attorney.
4. Logo use. Use of the font in the logo itself requires the Brand / Logo Mark licence in addition to this one.

Addendum — Platform Embedding Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

The licence covers the use of the Font Software within a third-party creative platform (for example Canva, Adobe Express or Figma). The scope depends on the option chosen in the Order:

1. Internal Use / Personal Use. The Licensee may use the font on the platform to create its own designs. The Licensee must not share editable templates or files that allow others to use the font.
2. Commercial / Distribution Use. In addition, the Licensee may sell or distribute designs and templates created with the font through the platform, provided the font itself stays in the platform and recipients cannot extract it.
3. Platform Integration. This option is for a platform operator who wants to make the font available to the platform's users. The Foundry will contact the Licensee to agree the terms of the integration before the font is made available.

In all cases, the Licensee must not upload the font files to the platform in a way that makes them downloadable by others.

Addendum — Broadcast / Film Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may use the Font Software in content shown on television and in film: broadcast advertising, programme titles, news graphics, and any on-screen use in a televised or cinema production.
2. Reach. The tier chosen in the Order sets the territory:
   • Local TV Productions: broadcast within a local or regional market.
   • National TV Production: broadcast within one country.
   • Worldwide TV Production: broadcast internationally.
3. Files. The production may contain the text as rendered images. The Font Software itself must not be delivered with it.

Addendum — App / Game Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may embed the Font Software in the number of mobile apps, desktop applications or games stated in the Order, distributed to end users.
2. What counts as one app. Each distinct app or game counts as one. Updates, versions and ports of the same app or game to other devices count as one.
3. Protection. The font must be included in the app bundle in a way that prevents users from extracting or reusing it.
4. Restrictions. The app must not offer the font to users as a font for their own use, for example in an editor with a font picker, without a separate agreement with the Foundry. The price does not depend on the number of downloads or active users.

Addendum — Server Licence

This addendum supplements the Font Licence Agreement (EULA) of Ethan Nakache Type Foundry, available at https://ethannakache.com/eula, which the Licensee also accepts. If they conflict, this addendum prevails on the points it covers. The licence applies to the Licensee named in the Order only, and is perpetual.

1. Grant. The Licensee may install the Font Software on the server or servers described by the tier in the Order, to generate or render text automatically.
2. Tiers.
   • Internal Automation Server: automated internal workflows. The output stays inside the Licensee.
   • Public Output Server: generates documents or images that are delivered to the public, in limited volume.
   • High-Volume Output Server: the same, in high volume.
   • Dynamic Image Generation Server: generates images on demand, for example personalised images or social cards.
   • SaaS / Web-App Rendering Server: the font renders text inside a hosted service or web application used by customers.
   • Enterprise Unlimited Server: any number of servers within the Licensee's organisation, for the uses above.
3. Restrictions. End users must not be able to download, access or extract the Font Software. The Licensee must not use the server to offer the font to third parties as a font.
